Subscriber Terms and Conditions of Use

1. Introduction and Acceptance

These Terms and Conditions (the “Terms”) govern your access to, and use of the SHOOT Magazine Archive website, applications, and related services (collectively, the “Platform”) operated by MagArchives Limited (“we”, “us”, or “our”).

By accessing or using the Platform, creating an account, or purchasing a subscription, you confirm that you have read, understood, and agree to be legally bound by these Terms, together with any documents incorporated by reference, including our Privacy Policy, Cookie Policy, and any subscription-specific terms displayed at the point of purchase. If you do not agree, you must not use the Platform.

These Terms apply to users located in the United Kingdom, the European Union, and the United States, subject to mandatory local consumer protection laws.

The Platform is intended for users aged 18 and over. Where a minor accesses the Platform, their parent or legal guardian is responsible for that minor’s actions and compliance with these Terms.

  1. About the Platform and Licensed Content

The Platform provides subscribers with controlled online access to:

  • Digitised magazines, journals, articles, text, images, music, videos, interactive features, and other editorial materials originally published in print or digital form (the “Licensed Content”);
  • Metadata, indexes, abstracts, thumbnails, and previews derived from such materials;
  • AI-powered tools that enable users to submit questions and receive automated responses derived from the Licensed Content, including references and citations to original source publications (the “AI Services”).

All Licensed Content is made available for private reading and viewing only. No transfer of ownership occurs.

  1. Publisher and Rights-Holder Acknowledgements

The Licensed Content is owned by us and/or third-party publishers, licensors, archives, and other rights holders (collectively, “Rights Holders”). Access is granted strictly in accordance with the scope of rights licensed to us by those Rights Holders.

The Platform is also protected by copyright as a collective work and/or compilation, pursuant to United Kingdom copyright laws, international conventions, and other copyright laws.

The trademarks, service marks and logos contained on the Platform are owned by or licensed to us. MagArchives Limited and its licensors retain title, ownership and all other rights and interests in and to all information and Licensed Content on the Platform.

Nothing in these Terms grants you any rights beyond those expressly permitted. Any use outside the permitted scope may expose us to claims by Rights Holders and may result in immediate suspension or termination of your account.

  1. Accounts and Registration

To access subscription-only areas of the Platform, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You must not:

  • Share, sublicense, sell, or transfer your account or login credentials;
  • Impersonate another person or entity;
  • Use another user’s account without permission.

We may suspend, restrict, or terminate accounts that we reasonably believe are being misused or are in breach of these Terms or applicable licensing obligations.

  1. Subscriptions, Billing, and Cancellation

5.1 Subscription Plans

Details of subscription plans, pricing, billing cycles, content entitlements, and usage limits are displayed on the Platform at the time of purchase and form part of these Terms.

5.2 Automatic Renewal

Unless otherwise stated, subscriptions renew automatically at the end of each billing period.

  • UK & EU users: You may cancel renewal at any time before the renewal date through your account settings, and cancellation will take effect at the end of the current billing period.
  • US users: Cancellation rights and renewal disclosures are provided in compliance with applicable state and federal laws.

5.3 Fees and Refunds

Fees are payable in advance. Refunds are provided only where required by applicable law or expressly stated at the point of purchase.

5.4 Suspension or Termination

We may suspend or terminate your subscription without refund if you materially breach these Terms or misuse Licensed Content or AI Services.

  1. Communications Between MagArchives Limited and You

We may contact you (via the Platform, electronic mail, physical mail or otherwise) for the purpose of informing you of changes or additions to the Website or Services, or of any related products and services. You agree that any notice, agreement, disclosure or other communications that we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing.

You may opt out of commercial advertising and marketing communications at any time by following the unsubscribe instructions included in each communication or through your account settings.

  1. Intellectual Property and Limited Licence

7.1 Ownership

All rights, title, and interest in and to:

  • The Platform;
  • The Licensed Content;
  • The AI Services, models, prompts, outputs, and underlying systems;
  • Any databases, compilations, or collective works;

are owned by or licensed to us and/or the Rights Holders and are protected by copyright, database rights, trademark laws, and international treaties.

7.2 Limited, Conditional Licence

Subject to continuous compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to:

  • Access and read Licensed Content solely for your personal, non-commercial use;
  • Use AI Services to ask individual, ad hoc questions relating to the Licensed Content;

strictly through the Platform’s intended functionality and during an active subscription.

7.3 Prohibited Uses

You must not, directly or indirectly:

  • Copy, download, save, print, scrape, capture, record, reproduce, distribute, transmit, or publicly display Licensed Content;
  • Extract or reconstruct articles, pages, images, or substantial portions of works, whether manually or via AI queries;
  • Use Licensed Content or AI Services to create competing products or substitute services;
  • Use Licensed Content or AI outputs for training, fine-tuning, or validating other AI or machine-learning systems;
  • Bypass, disable, or interfere with digital rights management, access controls, or technical safeguards;
  • Systematically query the AI Services to infer or recreate the underlying Licensed Content.

All rights not expressly granted are reserved.

  1. AI Services: Additional Terms

8.1 Informational Nature and Accuracy

AI-generated responses are produced automatically and may contain errors, omissions, or inaccuracies. Outputs are provided for informational and research purposes only and should not be relied upon as authoritative or complete representations of the Licensed Content.

8.2 Citations and Source References

Where AI-generated responses include citations or references:

  • Such references are provided for convenience only;
  • They do not grant any additional rights to access, copy, or reuse the cited material;
  • You must access cited materials only through the Platform’s authorised interfaces.

8.3 Usage Controls

We may impose rate limits, query caps, content filters, or other controls to ensure compliance with publisher licensing obligations and fair use of system resources.

8.4 Ownership of AI Outputs

To the extent permitted by law:

  • You may use AI-generated responses for personal, non-commercial purposes;
  • We and/or our licensors retain all rights in the AI Services, including models, prompts, and system outputs as part of a collective service.
  1. User-Provided Content

Where the Platform permits you to submit content (including comments, annotations, feedback, or queries):

  • You warrant that you have all necessary rights to submit such content;
  • You grant us a worldwide, royalty-free, perpetual licence to host, use, analyse, and display it for operating, securing, and improving the Platform and AI Services.

We are not responsible for User-Provided Content submitted by others and reserve the right to remove content that violates these Terms or applicable law.

  1. Acceptable Use and Compliance

You agree to comply with:

  • All applicable copyright, database, and intellectual property laws;
  • Applicable consumer protection laws in your jurisdiction;
  • Export control and sanctions laws (where applicable).

You must not interfere with the security, integrity, or performance of the Platform or attempt to access non-public systems or data.

  1. Availability, Modifications, and Withdrawal of Content

We do not guarantee continuous availability of any specific Licensed Content. Publishers or Rights Holders may require content to be removed or modified, and we may do so without liability.

We may update, replace, suspend, or discontinue any part of the Platform or AI Services at any time.

The Platform, Licensed Content, and AI Services are provided “as is” and “as available”.

We attempt to ensure that all Content on the Platform is complete and accurate.

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including accuracy, completeness, fitness for a particular purpose, and non-infringement.

  1. Limitation of Liability

Nothing in these Terms limits liability that cannot be excluded under applicable law, including statutory consumer rights.

Subject to the foregoing, we will not be liable for indirect, incidental, consequential, special, or economic losses, including loss of data, profits, or business opportunities.

  1. Indemnification

You agree to indemnify and hold us harmless from claims, damages, losses, and expenses arising from your breach of these Terms, misuse of Licensed Content, or violation of Rights Holders’ rights.

  1. Governing Law and Jurisdiction
  • UK users: These Terms are governed by the laws of England and Wales, and disputes shall be subject to the courts of England and Wales.
  • EU users: Mandatory consumer protections under local EU law apply.
  • US users: These Terms are governed by the laws of the State of New York, excluding conflict-of-law principles, unless otherwise required by mandatory state law.

Nothing in this section limits your right to bring claims in courts mandated by applicable consumer protection laws.
